Important: Pennsylvania Filing Changes in 2025

Pennsylvania has introduced a new Annual Report requirement starting in 2025. The previous Decennial Report (every 10 years) has been replaced with annual filings for most business entities. Note that the PA Department of State will not administratively dissolve non-compliant businesses until 2027.

Pennsylvania Annual Report Questions

Do I need to file a Pennsylvania Annual Report in 2024?

No. There is NO REPORT to file in 2024. The previous Decennial Report has been discontinued, and the new annual report system won't be available until 2025. However, if you have an LLP, LLLP, or PLLC, you still need to file your Annual Registration.

Are there initial reports required in Pennsylvania?

No, new businesses are not required to file initial reports in Pennsylvania.

What happens if I don't file my Pennsylvania Annual Report?

There is a $15 late fee for every annual report not filed. Your business will also no longer be in good standing, and your business name may become available for other companies to use. Starting in 2027, businesses can be administratively dissolved for non-compliance.

When are Pennsylvania Annual Reports due?

It depends on your business type: Corporations and nonprofits are due June 30, LLCs are due September 30, and all other required entities (LPs, business trusts, electing partnerships) are due December 31.

Which businesses need to file the Pennsylvania Annual Report?

Starting in 2025, the following must file: domestic and foreign business corporations, nonprofit corporations, LLCs, limited partnerships (including LLLPs), limited liability partnerships, electing partnerships, professional associations, and business trusts.

What's the difference between Annual Report and Annual Registration?

The Annual Report (starting 2025) is required for most business entities with a $7 fee. The Annual Registration is a separate requirement for LLPs, LLLPs, PLLCs, and restricted professional companies with higher fees ($410-$610 per partner/member) due April 15.

Who can file a Pennsylvania Annual Report?

Any authorized person may sign the Pennsylvania Annual Report. This includes someone within the business (such as a director or manager) or someone outside of the business hired to file on your behalf.

Do Pennsylvania Annual Reports need original signatures?

No, Pennsylvania allows both forms to be filed with electronic signatures.
